IRR and exit multiple information for individual investments (both realised and unrealised) included in a Disclosure are shown on a “gross” basis (unless otherwise stated herein). Fund II’s general partner’s share / management fee, carried interest and non-investment specific fund costs are generally calculated on a “whole fund” basis rather than on a “per investment” basis, and therefore the presentation of “net” returns would require an allocation to each investment held by the relevant fund of an amount of non-investment specific fund costs, general partner’s share / management fee and carried interest. This would require general assumptions to be made in respect of the allocation methodologies which may ultimately prove to be inaccurate and as a result Revetas believes it is not possible to accurately give net figures relating to any specific investment. Notwithstanding the foregoing, if it were possible to show net performance figures these may in certain circumstances be significantly lower than the gross returns shown.
Cumulative IRR and exit multiple information relating to past Revetas funds are shown on a gross basis as they have not yet been fully realised and liquidated (unless otherwise stated herein). It is therefore not possible to currently predict with any accuracy any further investment and operational costs which may be incurred by the funds, or the ultimate general partner’s share / management fee and/or carried interest which may be payable during the remaining term of the fund, in particular as such costs, payments and distributions are impacted by the length of time the remaining unrealised investments are held for and Revetas cannot predict with certainty at this time when the remaining unrealised investments are likely to be sold.
Where projected valuations and/or performance information is included in a Disclosure this is based on valuations and methodologies which may be made available to prospective investors on request. However, while Revetas believes that projected returns for unrealized investments are based on assumptions and valuation methodologies that are reasonable under the circumstances, the actual realized returns on unrealized investments will depend on, among other factors, future operating results, the value of the assets and market conditions at the time of disposition, any related transaction costs and the timing and manner of sale, all of which may differ from the assumptions on which the valuations used in the performance data contained herein are based. Accordingly, the actual realized return on these unrealized investments may differ materially from the projected returns indicated herein.
